About Jio Platforms

Incorporated in 2019, Jio Platforms Limited has been a technology-based digital services provider. Jio Platforms Limited is one of the subsidiaries of Reliance Jio Infocomm Limited. The firm is a digital connectivity and technology solutions provider in India. As at March 31, 2026, the company was serving more than 524 million customers. The company has established its technology stack which has capabilities from the network infrastructure to the software platforms, operating systems, devices, and digital applications.

The company services both consumers and enterprise customers using digital platforms and a national-wide distribution network. The company serves consumers with mobile and fixed broadband connectivity, digital entertainment, games, cloud storage, smart home and AI digital services. The digital platforms include MyJio, JioTV+, JioSaavn, JioGames, and JioAICloud. For businesses, the company serves enterprise connectivity, cloud services, IoT, unified communications platforms, managed services, security services and private 5G.

The enterprise customers of the company cut across the banking industry, utilities, transportation, manufacturing, government and information technology industries. As at March 31, 2026, Jio Platforms and its subsidiaries had 28,163 full-time employees and patent applications in digital connectivity, cloud-native networks, artificial intelligence and other technologies.

As described in the offer document.

Objects of the issue

  • Prepayment, in full or in part, of certain outstanding borrowings availed by the Material Subsidiary, namely, RJIL. - ₹27,500 Cr
  • General corporate purposes.

Strengths

  • End-to-End Proprietary Technology Stack: The company has an end-to-end proprietary technology stack with respect to network, device engineering, software, and applications. As per 31st March 2026, there were 11,303 employees, around 40% of the total number of employees in the company, involved in digital products and technology development, filing 6,817 patents
  • Digitizing Connectivity in India: The company became the first one to provide 4G VoLTE connectivity and took just 180 days to reach a milestone of 100 million 4G customers. As on 31st March 2026, the total number of customers stood at 524.4 million, among which there were 268.5 million 5G customers.
  • Operationally Superior Through Innovation: The company has been employing a decentralized 'fractal' model of operation, 'digital twin' of the network for its rollout plans, and 'JioGridX' platform for monitoring of network and customer experience through 82 different parameters.

Risks

  • Dependance on Telecom Licence and Spectrum: The RJIL unified license is due for renewal in October 2033, and its spectrum, which is valid for 20 years, will mostly expire between 2041 and 2042. Failure to renew licenses, participate in future spectrum auctions, and meet rollout obligations may significantly impact the business and financial performance.
  • Risk of Network Outage: Uninterrupted network performance is crucial to business operations, and the company faced service disruption instances like about two hours of 5G and JioAirFiber outages in Gujarat in Fiscal 2026, and from fiber cuts, power failure, and weather-related incidents, which may result in customer churn.
  • Risk of Technological Obsolescence: The connectivity industry is subject to quick technological changes due to 5G technology transition and potential disruption from satellite connectivity; significant investments in technology upgrades are required, and inability to timely do so may decrease competitiveness.

How allotment works

If the retail portion is not fully subscribed, every valid application is allotted in full. If it is oversubscribed, SEBI's rules require that as many applicants as possible receive at least one lot, so the shares are allotted by a computerised lottery across all valid applications, one lot each, until the retail portion is exhausted. Applying for more lots does not improve your chance in a lottery; it only increases what you receive if the issue is under-subscribed.

The basis of allotment document, published by the registrar on the allotment date, states the ratio: for example, one applicant in seven received one lot.

Allotment status is published by the registrar on its website, searchable by PAN, application number or demat account, and also on the exchange's website. Allotted shares are credited to the demat account the day before listing, and blocked money for unsuccessful applications is released the same day. The Rupix app can check allotment status by PAN once the registrar publishes it.

What happens on listing day

Shares list within three working days of the issue closing. On listing day the exchanges run a special pre-open session from nine o'clock, during which orders are collected and an opening price is discovered from them; trading in the share begins after that, usually around ten. The opening price is the listing price that appears on this page once the issue has listed, and the listing gain or loss is the difference between it and the issue price.

For a mainboard issue, the share then trades in the normal way with the exchange's price band for a new listing. For an SME issue, shares trade in lots rather than one at a time, and the market can be thin, so selling on listing day is not always possible at the opening price. Capital gains on shares sold within a year of allotment are short-term and taxed at the short-term rate.
